These terms apply to every business that uses Nozl ("you"), and to everyone you give a login to. By using Nozl you agree to them on your business's behalf, and confirm you're allowed to. If you don't agree, please don't use Nozl.
1. Your account
- Nozl is for businesses. You must be 18 or over and set up the account for a real business.
- You decide who in your business gets a login and what they can do. You're responsible for what happens under your account, so keep passwords private and remove people who leave.
- Tell us straight away at hello@nozl.co.nz if you think someone has got into your account.
2. Plans, trial and billing
- New businesses start with a 7-day free trial of the plan they choose. The card you give when you sign up is charged when the trial ends, unless you cancel in Settings › Plan and billing before then.
- Prices are in New Zealand dollars and include GST, as shown on our pricing. You can pay monthly or yearly. Plans renew automatically and are charged by card through Stripe until you cancel.
- Changing plan takes effect straight away and is charged or credited for the rest of the period.
- If you cancel, your plan carries on until the end of the period you've paid for. We don't refund part periods unless the law requires it.
- We'll give you at least 30 days' notice before a price change applies to you.
- If a payment fails and isn't put right, we may limit or pause your account after telling you.
3. Taking card payments (Nozl Payments)
- You can connect your own Stripe account so your customers can pay invoices by card. Payments go into your Stripe account, under Stripe's terms, which you agree to with Stripe when you connect.
- Nozl charges a fee on each card payment taken through it: 0.7% per card payment, capped at $10, unless we've agreed another rate with you (it's shown in Settings › Integrations › Stripe). It's taken from the payment. Stripe's own processing fees are separate and charged by Stripe.
- When you refund a card payment through Nozl, the matching share of our fee is given back.
- We may change the fee with 30 days' notice. Payments by bank transfer, cash or other ways have no Nozl fee.
4. Your information
- Everything you put into Nozl stays yours. You let us store and process it only to provide Nozl to you, as our privacy policy describes.
- You're responsible for the information you keep about your customers and staff: having the right to collect it, keeping it accurate, and meeting the Privacy Act 2020.
- You're responsible for the emails and texts you send through Nozl. Marketing messages need the person's consent and a way to unsubscribe, under the Unsolicited Electronic Messages Act 2007.
- You can ask for a copy of your information at any time.
5. Using Nozl fairly
You agree not to:
- use Nozl for anything unlawful, misleading or harmful, or to send spam;
- try to get into another business's information, or test, overload or work around Nozl's security;
- copy, resell or rebuild Nozl, or let people outside your business use your account.
6. Other services
Nozl works with services you choose to connect, such as Stripe, Xero, ClickSend and PayHero. Their terms apply to your use of them, and we're not responsible for them.
7. The service
- We work to keep Nozl running, secure and backed up, but we can't promise it'll never be unavailable or free of faults. We may need to take it offline briefly for maintenance.
- We improve Nozl regularly. If we remove something important you rely on, we'll tell you first.
- Support is through the Support page in Nozl, live chat, and email.
8. Ownership
Nozl, its software, design and name belong to us. You get the right to use it for your business while your account is open. If you send us ideas or feedback, we may use them freely.
9. Confidentiality
We each keep the other's confidential information private, and use it only for this agreement, unless the law requires otherwise.
10. Business use, and limits on liability
- You're using Nozl for business, so the Consumer Guarantees Act 1993 doesn't apply, and we both agree, as far as it's fair and reasonable, that sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 don't apply either.
- As far as the law allows, we're not liable for indirect losses, such as lost profits, lost business or lost data, and our total liability to you for anything to do with Nozl is limited to what you've paid us in the 12 months before the claim.
- You'll cover us for losses caused by your breach of these terms, or by information or messages you put into or send through Nozl.
11. Ending the agreement
- You can cancel at any time in Settings › Plan and billing, or by telling us.
- We may suspend or close an account that breaks these terms or isn't paid, after telling you and giving you a fair chance to put it right (unless it's serious or urgent).
- When an account closes, you can download your information for 30 days. After that we delete it as our privacy policy describes, except what the law requires us to keep.
12. Changes to these terms
We may update these terms. We'll tell you by email or in Nozl at least 30 days before an important change applies. Using Nozl after that means you accept the new terms.
13. The law
These terms are governed by New Zealand law, and the New Zealand courts deal with any dispute.
